Overview


Put your experience in technology and commercial transactions to work, negotiating strategic business agreements with global customers and partners, and providing legal support on Intellectual Property (e.g., copyright, trademark, and other key IP areas), Data Licensing and other Technology Procurement, Trade Secrets, Open Source, Privacy law, Accessibility and Antitrust matters. In addition to performing transactional work, the successful candidate for this position will be responsible for providing legal counsel and guidance in all areas of law affecting the Company's business activities to ensure maximum protection of the organization’s legal rights and minimizing liability risk exposure.

Responsibilities


  • Transactional in-house, legal practice that blends the right balance of technology, business, and legal skill sets. Solid business acumen and judgment is a must have skill
  • Negotiate non-standard and standard software license agreements, including On-Prem, SaaS, PaaS, subcontractor agreements, Alliance/Reseller and Teaming agreements, and Hosting agreements
  • Demonstration Agreements and Confidentiality Agreements, ranging from moderate to complex in scope
  • Develop, draft, and negotiate contractual terms and conditions (for example ownership, scope of use, warranty, limitation of liabilities, indemnity, etc.), and maintain agreements and contractual relationships for software licensing and development
  • Analyze and support both technical and business teams and related programs, risk assessment/management, and conflict resolution and work-out
  • Support Contracts and Legal team with areas of expertise, such as competition, data privacy, anti-corruption, and other applicable regulations
  • Communicate and develop relationships with all levels of management and staff within Esri and third-party vendors and licensors
  • Educate internal clients on policies and practice, legal issues, and contracts on an ongoing basis in a responsible and ethical manner
  • Identify and isolate issues for escalation
  • Handle specific responsibilities and duties assigned based on business needs and attorney abilities and expertise

Requirements


  • 5 years of experience in negotiation of highly complex technology transactions, software licensing and SaaS agreements, the majority of which were conducted as in-house counsel
  • Admittance in good standing before California State Bar or other state bar
  • Mastery of written and oral communications
  • Detail oriented, well organized, analytical, and adaptable
  • Ability to work independently as well as collaboratively in a collegial, fast-paced environment
  • Quick learner with effective time management skills to manage a significant volume of agreements and multiple projects with various clients
  • Diligent and proactive with sound business judgment and strategic thinking
  • Excellent Microsoft Office and computer skills
  • JD from an ABA accredited law school

Recommended Qualifications


  • Familiarity with relevant FAR, DFAR provisions, Antitrust and Export Control
  • Familiarity with Privacy Laws, including CPRA and GDPR
  • Experience working with Apttus/Conga
  • Domestic and international distribution and software licensing experience

Compensation decisions and the base range for this role take into account many factors including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs.

  

A reasonable estimate of the base salary range is $112,320 - $180,960.
