Overview


Put your experience in technology and commercial transactions to work, negotiating business agreements with global customers and partners, and providing legal support across the operational spectrum related to Intellectual Property (such as copyright, trademark, and other key IP areas), Data Licensing, Technology Procurement, Trade Secrets, Open Source, Privacy law, Accessibility and Antitrust matters. While performing and supporting transactional is a primary focus, you will also use your leadership skills to successfully manage the International, Domestic and Inbound Contracts teams.  As a corporate generalist, you will be proficient in providing legal counsel and guidance in all areas of law affecting the company's business activities to ensure maximum protection of the organization’s legal rights and minimizing liability and exposure to risk.

Responsibilities


  • Manage a team of contract professionals to ensure consistent and timely performance
  • Negotiate software license agreements, including On-Prem, SaaS, PaaS, MSAs, subcontractor, Alliance/Reseller, MOUs, teaming, hosting, demonstration, and confidentiality agreements; ranging from moderate to complex in scope
  • Develop, draft, and negotiate contractual terms and conditions (such as ownership, scope of use, warranty, limitation of liabilities, indemnity, and more), and maintain agreements for software licensing and development
  • Review and approve contract language from both software/SaaS licensing and professional services contracts teams
  • Analyze issues and support technical and business teams, such as Global Business Development, IST and Product Management, and related programs; with an eye towards risk assessment/management and dispute resolution
  • Partner with the Director of Legal to support Contracts and Legal team within areas of expertise, such as intellectual property, M&A, real estate, competition, data security and privacy, anti-corruption, and other applicable laws and regulations
  • Engage and work with outside counsel on relevant matters
  • Liaise with GSA Schedule Manager on ongoing administrative and compliance matters related to supporting Federal government customer base
  • Communicate and develop relationships with all levels of management and staff within Esri and third-party vendors and licensors
  • Educate internal clients on policies and practice, legal issues, and contracts on an ongoing basis in a responsible and ethical manner
  • Advise senior management of potential risks in transactional and legal matters
  • Identify and isolate issues for escalation
  • Attain working knowledge of systems and process impacting legal operations and provide leadership in identifying and implementing process improvements
  • Develop employees through mentoring and training
  • Handle specific responsibilities and duties assigned based on business needs and attorney abilities and expertise

Requirements


  • 12 years of relevant legal in-house experience or combined private practice law firm and in-house counsel setting
  • Admittance in good standing before California State Bar or other state bar
  • Mastery of written and oral communications
  • Detail oriented, well organized, analytical, and adaptable
  • Ability to work independently as well as collaboratively in a collegial, fast-paced environment
  • Quick learner with effective time management skills to manage a significant volume of agreements and multiple projects with various clients
  • Service-oriented and proactive with sound business judgment and strategic thinking
  • Ability to blend the right balance of technology, business, and legal skill sets
  • Solid business acumen and judgment is a must
  • Excellent Microsoft Office and computer skills
  • JD from ABA accredited law school

Recommended Qualifications


  • Experience in-house with direct management of a contracts team
  • Working knowledge of Privacy law (CCPA/GDPR) and Information Security or Data Security
  • Exposure to government contracting and familiarity with relevant FAR, DFAR provisions
  • Experience in domestic and international distribution business model and extensive software licensing
  • Familiarity with Antitrust and Export Control laws
  • Knowledge of Apttus/Conga

Compensation decisions and the base range for this role take into account many factors including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. 

  

A reasonable estimate of the base salary range is $178,880.00 - $305,760.00.
